Terms & Conditions
1. Scope and Acceptance

Services: The Consultant will provide the services described in the Proposal or Quote with due care, skill, and diligence.

Acceptance: Providing instructions to begin work or allowing the Consultant to continue services constitutes acceptance of these terms.
2. Fees and Payment

Fees: The Client agrees to pay the fees specified in the Proposal.

Invoicing: Invoices must include details like the ABN, date, description of services, and the payment amount.

Payment Terms: Invoices are typically payable within a set period (e.g., 14 or 28 days) from the date of receipt.

Expenses: The Client will reimburse pre-approved out-of-pocket expenses.
3. Client Obligations

Information: The Client must provide accurate and complete information and access to personnel and project sites required for the services.

Reliability: The Consultant is entitled to rely on the accuracy of client-provided information without independent verification.
4. Liability and Insurance

Standard of Care: The Consultant will exercise the care and skill expected of a competent professional in the HSE field.

Liability Cap: Total liability is often limited to a specific amount (e.g., the value of the fees paid) or as specified in a professional indemnity policy.

Insurance: The Consultant will maintain appropriate insurance, such as Public Liability and Professional Indemnity insurance.
5. Intellectual Property (IP) and Confidentiality

Ownership: Existing IP remains the property of the Consultant. New IP developed specifically for the client is usually transferred upon full payment, though the Consultant may retain a license to use it for internal purposes.

Confidentiality: Both parties must protect each other’s confidential information and not disclose it to third parties without consent.
6. Termination and Disputes

Termination: Either party may terminate the agreement with written notice (e.g., 7 or 14 days). The Client must pay for all work completed up to the termination date.

Dispute Resolution: Parties should attempt to resolve disputes through good-faith negotiations before pursuing formal legal action.
